Terms and Conditions

01. Company Overview

Tentacles Private Limited is a registered private limited technology enterprise providing:

• Software Products & Applications: Desktop software, POS solutions, mobile apps, enterprise suites, and cloud platforms available via one-time licensing or recurring subscription plans.
• Professional Web & IT Services: Custom website design and development, web applications, e-commerce solutions, API/payment gateway integrations, software maintenance, hosting management, and technical consulting.

02. User Accounts & Registration

Certain products, customer portals, or services require account creation with accurate, current, and verifiable business information. You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account. You agree to notify us immediately at support@tentaclespvtltd.com in the event of any unauthorized account access or security breach.

03. Software Products & Subscription Licensing

• License Scope: Upon purchase or subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the software/desktop application solely for internal business operations in accordance with your chosen subscription plan.
• Restrictions: You shall not decompile, reverse-engineer, disassemble, modify, copy, resell, sublicense, or distribute any proprietary software, application binaries, or source code.
• Plan Types & Renewals: Subscriptions (monthly, quarterly, or annually) renew automatically at the end of each billing cycle unless cancelled prior to the renewal date.

04. Website Design, Development & IT Services

• Proposals & Scope of Work (SOW): Every custom website or software development project is governed by a detailed SOW or Proposal outlining deliverables, milestones, timelines, and payment stages.
• Client Materials & Clearances: The client warrants that all text, graphics, logos, trademarks, and content provided to us for website or application integration belong to the client or are legally licensed. The client indemnifies Tentacles Private Limited against any copyright infringement claims arising from client-supplied materials.
• Client Cooperation: Timely project execution depends on prompt feedback, content delivery, server/domain access, and milestone sign-offs from the client.
• Post-Launch Support & Maintenance: Standard project deliverables include a defined warranty/bug-fix period (as specified in the SOW). Ongoing maintenance, updates, or third-party API changes post-handover require a separate Annual Maintenance Contract (AMC) or retainer agreement.

05. Pricing, Billing & Payment Terms

• Currency & Taxes: All pricing for software subscriptions and service contracts is quoted in Indian Rupees (INR) or specified currencies and is exclusive of applicable Goods and Services Tax (GST), unless expressly stated.
• Payment Processing: Digital payments are processed securely through certified, RBI-authorized payment gateways (such as Worldline) supporting Cards, UPI, Net Banking, and corporate bank transfers.
• Invoicing: GST-compliant tax invoices are issued electronically for every successful subscription payment or project milestone clearance.
• Late or Default Payments: Failure to pay recurring subscriptions or project milestone invoices on time may result in suspension of software access, temporary suspension of development work, or withholding of production server deployment.

06. Intellectual Property Rights

• Proprietary Software: All rights, titles, source codes, and intellectual property in our pre-built software products, POS applications, portals, and platforms remain the exclusive property of Tentacles Private Limited.
• Custom Web & Software Deliverables: Upon final settlement of all milestone payments, the intellectual property rights for custom-developed front-end code and bespoke designs are assigned to the client, excluding any underlying proprietary frameworks, libraries, or pre-existing modules owned by the Company.

07. Third-Party Services & Integrations

Our websites and applications may integrate with third-party APIs, domain registrars, hosting providers, or payment gateways. Tentacles Private Limited is not liable for service interruptions, policy changes, fee revisions, or downtimes caused by external third-party service providers.

08. Limitation of Liability

In no event shall Tentacles Private Limited, its directors, employees, or partners be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of business profits, data corruption, or operational interruption) arising from the use or inability to use our website, software products, or services.

Our total cumulative liability under any circumstance shall not exceed the amount actually paid by you to Tentacles Private Limited during the three (3) months immediately preceding the event giving rise to the claim.

09. Termination

We reserve the right to suspend or terminate your software license, account, or active service engagement without prior notice if you breach these Terms, fail to make due payments, or engage in unlawful or fraudulent activity.

10. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
